- "Client" refers to any individual or organization that engages Intelligent Group for Services under a service agreement.

- "User" refers to any person who accesses or uses the Website.
2. Use of Website
You may use our Website for lawful purposes only. You agree not to:
- Use the Website in any way that violates applicable federal, state, local, or international laws or regulations
- Attempt to gain unauthorized access to any part of the Website, server, or any connected systems
- Introduce viruses, trojans, worms, or other malicious or technologically harmful material
- Use automated systems, bots, or scrapers to access the Website without our written permission
- Impersonate or attempt to impersonate the Company, an employee, or any other person or entity

3. Services and Service Agreements
The specific terms governing our managed IT services, cybersecurity, and technology consulting are defined in individual Service Level Agreements (SLAs) and Statements of Work (SOWs) entered into between Intelligent Group and each Client. These Terms apply generally; in the event of a conflict between these Terms and a specific service agreement, the service agreement shall prevail.
Services may include but are not limited to:
- Managed IT support and helpdesk services
- Cybersecurity monitoring, threat detection, and incident response
- Cloud infrastructure management and migration
- Compliance support (SOC 2, HIPAA, CMMC)
- IT strategy, fractional CIO, and technology consulting
- AI-powered workflow automation
- Hardware procurement and vendor management
4. Client Responsibilities
As a Client of Intelligent Group, you agree to:
- Provide accurate, complete, and timely information necessary for the delivery of Services
- Maintain appropriate user credentials and access controls for your systems
- Promptly notify us of any security incidents, unauthorized access, or system changes that may affect service delivery
- Ensure that all software licenses used within your environment are properly licensed
- Cooperate with our team during onboarding, audits, and any remediation efforts
- Pay all invoices in accordance with the payment terms outlined in your service agreement
5. Payment Terms
Payment terms, pricing, and billing schedules are specified in each Client's individual service agreement. General payment conditions include:
- Invoices are issued monthly in advance for recurring services unless otherwise agreed
- Payment is due within thirty (30) days of the invoice date unless otherwise specified
- Late payments may incur a service charge of 1.5% per month on the outstanding balance
- We reserve the right to suspend Services for accounts with balances overdue by more than sixty (60) days, with reasonable written notice
6. Intellectual Property
All content on the Website, including text, graphics, logos, images, icons, software, and design elements, is the property of Intelligent Group or its licensors and is protected by United States and international copyright, trademark, and intellectual property laws.
You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any Website content without our prior written consent.
Any tools, scripts, automations, or custom solutions developed by Intelligent Group during the course of service delivery remain the intellectual property of Intelligent Group unless explicitly transferred in writing under a service agreement.
7. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the course of the business relationship. Confidential information includes, but is not limited to:
- Business processes, strategies, and financial information
- Technical data, system configurations, and network architecture
- Client data, customer lists, and employee information
- Security findings, vulnerability assessments, and compliance documentation
Confidentiality obligations survive the termination of any service agreement for a period of three (3) years unless otherwise specified.
8. Data Privacy
Our collection and use of personal information is governed by our Privacy Policy. By using our Website and Services, you acknowledge and agree to the practices described therein.
For Clients under a service agreement, data handling, processing, and security responsibilities are further defined in the applicable Data Processing Agreement (DPA) or Business Associate Agreement (BAA), as required by law.
9. Limitation of Liability
To the maximum extent permitted by applicable law:
- Intelligent Group shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to the use of our Website or Services.
- Our total aggregate liability for any claims arising under these Terms or any service agreement shall not exceed the total fees paid by the Client to Intelligent Group during the twelve (12) months immediately preceding the event giving rise to the claim.
- We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, power outages, internet service disruptions, or third-party service failures.
10. Warranties and Disclaimers
The Website and its content are provided on an "as is" and "as available" basis. Intelligent Group makes no warranties, express or implied, regarding the Website, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
While we strive to provide accurate and up-to-date information on our Website, we do not warrant that the content is complete, reliable, current, or error-free.
For managed services delivered under a service agreement, specific warranties and service level guarantees are defined in the applicable SLA and take precedence over this general disclaimer.
11. Indemnification
You agree to indemnify, defend, and hold harmless Intelligent Group, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Website in violation of these Terms
- Your violation of any applicable law or regulation
- Your infringement of any third-party intellectual property or other rights
- Any misrepresentation or breach of your obligations under a service agreement
12. Termination
We may terminate or suspend your access to the Website at any time, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.
Termination of managed services is governed by the terms of the applicable service agreement. Unless otherwise specified, either party may terminate a service agreement with sixty (60) days written notice. Early termination fees may apply as outlined in the service agreement.
13. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.
Any disputes arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation is unsuccessful, the dispute shall be submitted to binding arbitration in New York County, New York, in accordance with the rules of the American Arbitration Association.
14. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
15. Changes to These Terms
We reserve the right to modify these Terms at any time. Changes will be effective upon posting the updated Terms on this page with a revised "Last Updated" date. Your continued use of the Website or Services after any changes constitutes your acceptance of the revised Terms.
